Terms of Service
1. Provision of Services
By executing an agreement with Industrial Information Technology LLC, the client engages us to perform industrial information technology services, which may include managed IT support, network and infrastructure work, cybersecurity assessments, backup and continuity planning, cloud configuration, and related consulting or project delivery. Industrial Information Technology LLC retains professional discretion over the tools, methods, and technical approaches used to achieve the objectives described in your statement of work or service agreement, unless otherwise specified in writing.
2. Project Timelines
Technology implementations and remediation work are often dependent on third-party vendors, equipment lead times, and client availability for testing or approvals. While Industrial Information Technology LLC will provide estimated timelines for milestones such as assessments, deployments, or cutovers, those dates are targets rather than binding deadlines unless expressly stated in a signed Master Service Agreement or statement of work.
3. Payment Terms
All invoices from Industrial Information Technology LLC must be paid according to the schedule in your proposal or agreement. Third-party licensing, hardware, or cloud consumption billed pass-through to the client remains the client’s responsibility and is separate from professional services fees unless otherwise agreed in writing.
4. Modifications and Approvals
The client is responsible for timely review of change requests, security findings, or implementation plans. Delays in providing access, approvals, or accurate environment information may affect delivery schedules and outcomes. Industrial Information Technology LLC is not responsible for service interruptions or rework caused solely by such delays.
5. Limitation of Liability
To the fullest extent permitted by law, Industrial Information Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, or data, arising from use of our services, failures of underlying internet or utility providers, actions of software or hardware vendors, or security incidents originating outside systems under our direct management as defined in your agreement.
